BY-LAWS

Purpose: To promote golf activities and provide for a social atmosphere for the members of the Viera East Men's Association (VEMA). Additionally, to coordinate with Viera East Golf Course (VEGC) management in the establishment and implementation of policies and procedures that enhance the common interests between VEMA and VEGC management and promote good sportsmanship and proper etiquette in the game of golf.

Whereas the Association shall be governed by applicable rules and regulations, the following listed By-Laws shall prevail:

Article 1: NAME

The name of this organization shall be the Viera East Men's Association (VEMA).

Article II: MEMBERSHIP

Section 1 Membership in VEMA is open to all males over the age of 21.

Section 2. Membership rights and privileges include attending VEMA meetings, voting rights for the election of Officers, the right to hold office and participate in scheduled VEMA events.

Article III: DUES

The fiscal year of the Association shall run from October 1 of each year through September 30 of the following year. Annual membership dues shall be paid by all Members. This fee shall include the cost of the monthly, computerized handicapping system contracted for by VEMA. Membership dues are payable to the Treasurer of VEMA as of October 1 and are delinquent after October 31. Delinquent Members shall be dropped from the membership roll and VEMA handicap registers, and will be ineligible to participate in any VEMA sponsored events. The annual membership fee may be changed but not more than once in any twelve (12) month period.


Article IV: OFFICERS

Section 1. The Voting officers of VEMA shall consist of a President, Vice President, Secretary, Treasurer, and Tournament Director. No one individual may hold more than one office at a time. All Vema officers must be year around residents of Florida.

Section 2. Election of Officers shall be held at the regularly scheduled spring meeting of the Association. The duly elected Officers shall begin their term on 1st of the month after the meeting.

Section 3. Should a vacancy occur during the term of office, the Officers shall fill the vacancy, and the appointee shall serve in that position until the next scheduled election. In the case of a vacancy in the office of the President, the Vice President will assume the office of President and perform the duties of that office. The Officers shall appoint an interim Vice President to serve in that office until the next election.

Section 4. The President of VEMA may serve multiple terms in office.

Article V: DUTIES OF THE OFFICERS

Section 1. The President shall preside at all meetings of the Association, represent the Association with Viera East Golf Course management. He shall appoint the chairman of all committees as needed and perform the duties incident to his office. All committees must have an odd number of members.

Section 2. The Vice President, in the absence of the President, shall perform the duties of that office.

Section 3. The Secretary shall keep the records of the Association, including maintaining the minutes of the Association, notify all Members of special meetings, and handle any correspondence of the Association.

Section 4. The Treasurer shall collect all monies due the Association and disburse funds as directed by the VEMA Officers. The Treasurer shall report the financial status of the Association at each monthly meeting. The Treasurer shall maintain a list of all Members. A three (3) member committee appointed by the President shall audit the records at the close of the Treasurer's term of office, or at least annually at the onset of the new term of Officers.


Article VI: MEETINGS

Section 1. Meetings of the VEMA Board shall be held monthly on the second Thursday of each month, unless prior notification is posted to the contrary. Three (3) Officers shall constitute a quorum of the board; a majority vote of those Officers present shall prevail.

Section 2. Meetings of the Association shall be held twice a year, April and October. Special meetings may be called by the President or three (3) Officers.

Section 3. Parliamentary procedure shall be used at all meetings in accordance with Robert's Rules of Order.

Article VII: ELECTION OF OFFICERS

At the regularly scheduled spring meeting, the officers shall present a recommended slate of candidates for each office for the next fiscal year. Nominees so presented must have agreed to be nominated. Nominations may also be made from the floor at this meeting, with the proviso that such nominees have agreed to be nominated. The new officers shall be elected by a majority vote of the VEMA members present at the meeting. Newly elected board members shall take office on the 1st day of the month following the meeting.

Article VIII: AMENDMENTS

Amendments, changes or modifications to the By-Laws may be proposed in writing at any regularly scheduled meeting of the VEMA Board. Such a proposal shall require a majority of the VEMA Board present to proceed. Proposed amendments, changes or modifications to the By-Laws that received a majority vote at the previous Board meeting shall be voted on at the next regularly scheduled meeting of the Association and shall require a two-thirds vote of the VEMA Members present to carry. Notice of the proposed amendments, changes or modifications to the
By-laws shall be posted at least fifteen (15) days prior to this meeting.

Article IX: RULES

Section 1. The Officers of the Association shall from time to time publish appropriate Rules and Regulations. These shall consist of procedures that do not require the vote of the membership. Such items would include, but not necessarily be inclusive of: Association Local Rules of Play, No-Show Policies, Tournament Guidelines, Sign-up Sheet Procedures, etc.

Section 2. All VEMA Members shall abide by the USGA rules, except as modified by Course rules and published local Association rules. All handicapping shall conform to the VEMA handicapping system.

Article X: HANDICAPS

Section 1. In order to participate in any VEMA sponsored tournament, a Member must be in good standing and have a handicap based on at least three (3) rounds of play on the Viera East Golf Course. These rounds of golf must have been previously entered into the handicap system utilized by VEMA. All new members first 3 rounds must be played from the Green Tees. After those rounds an evaluation will be made to determine the member’s eligibility to move forward to the SKY tees.

Section 2. In order to participate in any VEMA sponsored daily event, a Member must be in good standing and have his handicap approved in advance by the VEMA Handicap Chair.

New Members of the VEMA may participate in any daily event, however, they are not permitted to contribute to or receive from the daily prize fund until their handicap is approved by the VEMA Handicap Chair. This approval can occur when the individual has at least three (3) rounds of play in a VEMA sponsored daily event at the VEGC or has been previously approved by the VEMA handicap chair or the president or vice president.

Section 3. Guests of VEMA Members may participate in any VEMA sponsored daily event on a space-available basis, with the approval of the daily event Chair. Guests however will not be permitted to contribute to or receive from the daily prize fund.

Section 4. All daily event scorecards will be collected and entered into the appropriate computerized handicap system utilized by VEMA.
